The United Arab Emirates is the leading construction market in the Middle East GCC region and, until very recently, a clear example of a market without dedicated Prompt Payment Legislation or statutory Construction Adjudication. Subcontractor payment protection has rested on the general civil law — the Civil Transactions Law and its good-faith provisions (Articles 246 and 258) — and on how UAE courts choose to read contracts. There is no fast statutory adjudication remedy; disputes go to litigation or arbitration.

UAE courts have nonetheless constrained Pay-When-Paid Clauses judicially. The Abu Dhabi Cassation Court (Commercial Appeal No. 301/2018) confirmed that a subcontractor remains entitled to payment after a reasonable interval, irrespective of whether the main contractor has been paid by the employer, unless there is clear evidence payment depends on a genuine recognised contingency. An open-ended clause that absolutely excludes the payment obligation is treated as contrary to public policy. Concrete enforcement also occurs: in a 2025 case a Dubai court ordered a contractor to pay AED 4.7 million to a formwork-and-scaffolding subcontractor whose work, on a Jumeirah Village Circle project, had been completed and handed over but left unpaid.

The 2025 reforms mark a shift toward statutory protection. Commentary on UAE law describes a new framework introducing statutory payment deadlines, a prohibition on open-ended conditional-payment clauses, and an emphasis on good-faith compliance — alongside Dubai Law No. 7 of 2025 (a unified regulatory framework for all contractors, including free zones and the DIFC) and Dubai Law No. 8 of 2025 (a dedicated amicable-settlement branch for disputes over UAE nationals’ home construction up to AED 10 million). The UAE thus illustrates a GCC market moving from a pure freedom-of-contract baseline toward codified payment certainty — though it still lacks the fast adjudication remedy that defines the strongest markets.
